Terms of Use for Commodore Hotel Roku Channel

1. Acceptance of Terms
 

By accessing and using the Commodore Hotel Roku Channel (the "Channel"), you agree to comply with and be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, please do not use the Channel.
 

2. Use of the Channel
 

  • Eligibility: You must be at least 13 years old to use the Channel. By using the Channel, you represent and warrant that you meet this age requirement.

  • License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Channel for your personal, non-commercial use.

  • Restrictions: You agree not to:

    • Use the Channel for any unlawful purpose or in violation of any local, state, national, or international law.

    • Interfere with or disrupt the Channel or any servers or networks connected to the Channel.

    • Use any automated system, including "robots," "spiders," or "offline readers," to access the Channel in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional online web browser.

    • Attempt to gain unauthorized access to any part of the Channel, other accounts, computer systems, or networks connected to the Channel.
       

3. Content
 

  • Ownership: All content available on the Channel, including but not limited to text, graphics, images, music, software, and video (collectively, the "Content"), is owned by or licensed to Commodore Hotel and is protected by copyright, trademark, and other intellectual property laws.

  • Use of Content: You may view, download, and print Content from the Channel for your personal, non-commercial use only. You may not modify, reproduce, distribute, create derivative works based on, publicly display, or otherwise use the Content for any commercial purpose without our prior written consent.
     

4. User Contributions
 

  • Responsibility: If you submit any content to the Channel, including but not limited to comments, feedback, or suggestions (collectively, "User Contributions"), you are solely responsible for such User Contributions.

  • License: By submitting User Contributions, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Contributions in any media.
     

5. Disclaimers
 

  • No Warranty: The Channel and all Content are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Channel will be uninterrupted, error-free, or free of viruses or other harmful components.

  • Limitation of Liability: In no event shall Commodore Hotel, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Channel or these Terms, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.
     

6. Indemnification
 

You agree to indemnify, defend, and hold harmless Commodore Hotel, its affiliates, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Channel, your violation of these Terms, or your violation of any rights of another.
 

7. Changes to These Terms
 

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the Channel. You are advised to review these Terms periodically for any changes. Your continued use of the Channel after the posting of changes constitutes your acceptance of such changes.
 

8. Governing Law
 

These Terms and your use of the Channel shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.
